The subject of the contract is the technician and janitor services for the Verwaltungs-Berufsgenossenschaft (VBG) at the Ludwigsburg site, Ludwigsburg district administration, Martin-Luther-Strasse 79 in 71636 Ludwigsburgs. The contract begins on 01.01.2024 and ends on 31.12.2026 without the need for termination.A one-time contract extension for a further 12 months is possible from 01.01.2027. The contract ends on 31.12.2027 without the need for termination. The contract extension must be in writing and will be announced no later than four months before the end of the standard contract term.A contract extension beyond 31.12.2027 is generally excluded unless unforeseen events occur which necessitate a further, short-term contract extension, such as the cancellation of a call for tenders carried out for this subject of performance or delays in construction progress.The provisions of the German Civil Code shall apply without prejudice. A clarifying provision that an extraordinary termination may result in claims for damages is therefore not required.The technician and janitor services shall be performed daily from Monday to Friday with 7.42 hours each, in the time from 08:00 to 16:00. The service building shall be maintained in a neat, orderly, clean and functional condition. Upon agreement, a deviation of the start and end times is possible in case of need. The weekly working time of 39 hours remains unaffected by this.Cooperation with the cleaning service provider is expected insofar as supportive safety precautions must be taken, e.g. when cleaning ceiling lights, or cleaning areas must be cleared.The Contractor shall guarantee an on-call/emergency service to ensure operations, also outside regular working hours. This on-call/emergency service only concerns the technical systems or the technical building equipment. On-call service shall be scheduled 24 hours a day, 365 days a year. The response time shall not exceed 60 minutes. Additional orders shall be placed separately by the Principal as required and shall form part of the basic services despite their being placed individually, even on the Principal's non-working days, if the services can be performed during working hours without affecting regular daily operations. The Contractor shall perform its services professionally and in accordance with the generally recognized rules of technology for the entire duration of the contract. The Contractor shall ensure that the manufacturer's specifications are complied with when inspecting and operating technical equipment or systems listed under item 3.1. of the description of services (activities/routine).The Contractor shall ensure that only equipment and machines are used that are suitable for the respective purpose. Devices and machines must comply with the safety regulations and bear test marks (e.g. GS, CE mark). Under no circumstances may work equipment be used that could cause damage to furnishings and components or endanger persons.The Contractor's equipment and machinery used by the Client may be stored at the Client's premises free of charge.It is possible to inspect the object between 25 October 2023 and 3 November 2023. "Move-up clause": The first six months of the contract term shall be deemed a trial period. If during this period it should be determined by the AG that the services of the awarded contractor (CO) do not meet the requirements, the AG may terminate the contract within the probationary period without stating reasons by giving 14 days' notice to the end of the calendar month at the latest. If the contract is terminated from this award procedure for a special reason, in particular also due to insolvency or termination, during the probationary period, the Client reserves the right to commission the subsequent bidder in rank 2 and 3 from the completed award procedure for the remaining term. The substitution clause shall only be applied by the AG within the probationary period. In this case, after written declaration by the bidder at the request of the contracting authority, the contract would be awarded under the bid and price conditions submitted in this award procedure.If the substitute clause does not come into force, the contracting authority will in this case issue a new invitation to tender for the services in question. It is therefore obvious that it will be very reluctant to make use of this right of extraordinary termination. It is therefore in no way to be expected that the awarding authority will declare an extraordinary termination without any reason whatsoever.An extension of the contract beyond December 31, 2027 is fundamentally excluded unless unforeseen events occur which necessitate a further, short-term extension of the contract, such as the cancellation of an invitation to tender carried out for this subject of performance or delays in construction progress.The provisions of the German Civil Code apply without prejudice.
